DieselKey Terms and Conditions

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING DIESELKEY SOFTWARE. BY INSTALLING, ACTIVATING, PURCHASING A LICENSE FOR, OR USING DIESELKEY, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE, INSTALL, OR USE THE SOFTWARE.


1. Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DieselKey, a sole proprietorship owned and operated by Jeremy Cooper, located in Florence, Alabama, United States ("DieselKey," "we," "us," or "our"). This Agreement governs your use of the DieselKey software, including any associated services, applications, libraries, dynamic link libraries (DLLs), firmware, calibration data, documentation, updates, and related materials (collectively, the "Software").

By purchasing a license, downloading, installing, activating, or using the Software, you represent and warrant that (a) you are at least eighteen (18) years of age, (b) you have the legal capacity to enter into this Agreement, (c) you have read and understood these Terms in their entirety, and (d) you agree to be bound by these Terms and all applicable laws and regulations.


2. Intended Use — Off-Road and Competition Use Only

THE SOFTWARE IS SOLD EXCLUSIVELY FOR OFF-ROAD, RACING, AND CLOSED-COURSE COMPETITION USE.

The Software is not designed, intended, certified, or legal for use on any vehicle operated on public roads, highways, or streets within the United States or any other jurisdiction where vehicle emissions are regulated. Use of the Software may result in modifications to your vehicle's emissions control systems, fuel delivery, boost control, and other parameters that may cause the vehicle to fail to comply with applicable federal, state, local, or international emissions laws, including but not limited to the United States Clean Air Act (42 U.S.C. § 7401 et seq.) and regulations promulgated by the United States Environmental Protection Agency (EPA) and the California Air Resources Board (CARB).

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER USE OF THE SOFTWARE IS LEGAL IN YOUR JURISDICTION AND FOR THE INTENDED USE OF YOUR VEHICLE. DIESELKEY MAKES NO REPRESENTATION OR WARRANTY THAT USE OF THE SOFTWARE IS PERMISSIBLE ON A ROAD-REGISTERED VEHICLE, AND YOU AGREE TO USE THE SOFTWARE ONLY ON VEHICLES USED EXCLUSIVELY FOR OFF-ROAD, RACING, OR CLOSED-COURSE COMPETITION PURPOSES.


3. License Grant and Restrictions

3.1 License Grant

Subject to your full compliance with these Terms and payment of the applicable license fee, DieselKey grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on a single personal computer and to apply it to a single vehicle identified by the Vehicle Identification Number ("VIN") associated with your license at the time of purchase.

3.2 License Tiers

Licenses are offered in three tiers: Lite ($5.99), Basic ($35), and Pro ($55). Each tier unlocks different feature sets as described on the DieselKey website at the time of purchase. Feature availability is subject to change without notice, except that purchased features will not be removed from existing licenses.

3.3 License Restrictions

You shall not, and shall not permit any third party to:

(a) copy, reproduce, distribute, publish, transmit, sell, rent, lease, lend, sublicense, assign, or otherwise transfer the Software or any rights under this Agreement to any third party;

(b) modify, adapt, translate, create derivative works based upon, or alter the Software in any way;

(c) reverse engineer, decompile, disassemble, decrypt, extract, unpack, attempt to discover the source code or underlying algorithms of, or otherwise attempt to derive the internal workings of the Software, including but not limited to any DLL files, encrypted calibration files, license verification logic, honeypot mechanisms, checksum validation routines, signature verification code, cryptographic keys, or any other protected component of the Software;

(d) remove, obscure, or alter any proprietary notices, labels, trademarks, copyright notices, or license information contained in or on the Software;

(e) use the Software to develop competing products, services, or offerings;

(f) use the Software in any manner that violates applicable law, including but not limited to federal, state, and local emissions regulations;

(g) share, publish, post, or distribute your license key, activation credentials, or any signed calibration bundles obtained through the Software;

(h) attempt to circumvent, bypass, disable, or tamper with any license validation, digital rights management, encryption, signature verification, checksum validation, tamper detection, honeypot, or any other security or protection mechanism of the Software;

(i) use the Software on more than one (1) vehicle per license, or transfer a license to a different VIN without the prior written consent of DieselKey;

(j) use the Software on more than two (2) personal computers per license without requesting a machine reset through official support channels;

(k) extract, copy, modify, or reuse any calibration tables, hook addresses, memory maps, detector signatures, reverse engineering work product, or strategy bundles delivered through the Software;

(l) use automated tools, scripts, bots, or other means to interact with the DieselKey servers, submission endpoints, or license infrastructure other than through the Software itself; or

(m) use the Software in connection with any activity that infringes, misappropriates, or violates the intellectual property rights, privacy rights, or other rights of any third party.

3.4 Reverse Engineering Liability

In addition to any other remedies available at law or in equity, any violation of Section 3.3(c) or Section 3.3(h) — including any attempt to reverse engineer, decompile, disassemble, tamper with, or circumvent the Software's security mechanisms — shall entitle DieselKey to seek and recover:

(a) injunctive relief to prevent continued violation;

(b) actual damages caused by the violation;

(c) statutory damages where available, including damages under the Digital Millennium Copyright Act (17 U.S.C. § 1201) for circumvention of technological protection measures;

(d) liquidated damages of fifty thousand dollars ($50,000) per violation, which the parties agree represents a reasonable estimate of damages in light of the difficulty of calculating actual damages caused by reverse engineering of proprietary calibration and license protection technology;

(e) disgorgement of any profits, revenue, or other benefits obtained through the violation;

(f) attorneys' fees, court costs, expert witness fees, and all other reasonable costs of enforcement.

You acknowledge that the Software contains proprietary trade secrets, the unauthorized extraction or disclosure of which would cause DieselKey irreparable harm for which monetary damages alone would be an inadequate remedy.


4. Ownership and Intellectual Property

4.1 Ownership

The Software is licensed, not sold. DieselKey retains all right, title, and interest in and to the Software, including all intellectual property rights therein. No rights are granted to you other than those expressly set forth in this Agreement. All rights not expressly granted to you are reserved by DieselKey.

4.2 Calibration Data and Strategy Bundles

All calibration tables, hook addresses, memory maps, signature data, strategy bundles, and reverse engineering work product delivered through the Software remain the exclusive property of DieselKey. Your license grants you the right to use such data only through the Software as intended and does not grant you any ownership interest in or right to extract, republish, or redistribute such data.

4.3 User-Submitted Data

If you submit calibration binaries, ECU data, or other technical information to DieselKey through the Software's strategy submission feature or otherwise, you grant DieselKey a perpetual, worldwide, royalty-free, non-exclusive, irrevocable, sublicensable license to use, modify, analyze, reverse engineer, incorporate into the Software, and otherwise exploit such submissions for any purpose, including but not limited to expanding Software compatibility, improving detection algorithms, and providing support for additional vehicle strategies. You represent and warrant that you have the legal right to submit such data and that such submissions do not violate any third party's rights.

4.4 Trademarks

"DieselKey" and the DieselKey logo are trademarks of Jeremy Cooper. No license or right to use any DieselKey trademark is granted under this Agreement.


5. Warranty Disclaimer

5.1 As-Is Basis

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIESELKEY AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.

5.2 No Guarantees

DIESELKEY DOES NOT WARRANT THAT:

(a) the Software will meet your requirements or expectations;

(b) the Software will operate uninterrupted, error-free, or free from bugs, defects, or vulnerabilities;

(c) the Software will be compatible with any specific hardware, operating system, J2534 pass-thru device, vehicle strategy, or vehicle configuration;

(d) the Software will successfully flash, program, or modify any particular vehicle;

(e) the results obtained from use of the Software will be accurate, reliable, safe, or appropriate for your vehicle;

(f) errors in the Software will be corrected; or

(g) the Software is free from viruses or other harmful components.

5.3 Vehicle Modification Risk

YOU ACKNOWLEDGE THAT USE OF THE SOFTWARE INVOLVES INHERENT RISK, INCLUDING THE RISK OF VEHICLE DAMAGE, ENGINE FAILURE, TRANSMISSION FAILURE, ELECTRONIC CONTROL MODULE ("ECM") OR TRANSMISSION CONTROL MODULE ("TCM") CORRUPTION OR "BRICKING," EMISSIONS NON-COMPLIANCE, WARRANTY VOIDING, INSURANCE POLICY VIOLATION, AND CATASTROPHIC MECHANICAL DAMAGE. YOU ASSUME ALL SUCH RISKS.


6. Limitation of Liability

6.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIESELKEY, ITS OWNER, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, VEHICLE DAMAGE, ENGINE DAMAGE, TRANSMISSION DAMAGE, ECU OR TCM REPLACEMENT COSTS, TOWING CHARGES, REPAIR COSTS, DIAGNOSTIC COSTS, RENTAL VEHICLE COSTS, LOST WAGES, REGULATORY FINES OR PENALTIES, WARRANTY CLAIMS, INSURANCE CLAIMS, OR ANY OTHER DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, EVEN IF DIESELKEY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) ON WHICH SUCH CLAIM IS BASED.

6.2 Aggregate Cap

IN NO EVENT SHALL DIESELKEY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE EXCEED THE AMOUNT YOU PAID TO DIESELKEY FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR TEN DOLLARS ($10), WHICHEVER IS GREATER.

6.3 Essential Purpose

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION 6 ARE AN ESSENTIAL ELEMENT OF THE BARGAIN BETWEEN YOU AND DIESELKEY AND THAT IN THE ABSENCE OF SUCH LIMITATIONS, DIESELKEY WOULD NOT OFFER THE SOFTWARE AT THE PRICES CHARGED.

6.4 Jurisdictional Variation

Some jurisdictions do not allow the exclusion or limitation of implied warranties or certain categories of damages. In such jurisdictions, the foregoing limitations shall apply only to the maximum extent permitted by applicable law.


7. Indemnification

You agree to defend, indemnify, and hold harmless DieselKey, its owner, agents, suppliers, licensors, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) your use or misuse of the Software;

(b) your violation of these Terms;

(c) your violation of any applicable law or regulation, including emissions laws;

(d) any damage to any vehicle, property, or person caused by your use of the Software;

(e) any claim by a third party arising from your use of the Software, including any claim by any vehicle manufacturer, dealer, insurer, or regulatory body;

(f) any violation of third-party rights, including intellectual property rights; and

(g) any submissions you make to DieselKey through the Software.


8. Vehicle Warranty

8.1 Warranty Void

USE OF THE SOFTWARE WILL LIKELY VOID SOME OR ALL OF YOUR VEHICLE'S POWERTRAIN, EMISSIONS, OR FULL-VEHICLE WARRANTY, INCLUDING ANY EXTENDED WARRANTY COVERAGE. YOU ACKNOWLEDGE THIS RISK AND AGREE THAT DIESELKEY IS NOT RESPONSIBLE FOR ANY DENIED WARRANTY CLAIMS, REPAIR COSTS, OR RELATED EXPENSES INCURRED AS A RESULT.

8.2 Ford Motor Company Relationship

DieselKey is not affiliated with, endorsed by, or sponsored by Ford Motor Company or any of its subsidiaries. References to Ford products, model names, engine codes, and strategy codes are made solely for identification and compatibility purposes. All trademarks are the property of their respective owners.


9. Refund Policy

9.1 General

All sales are final. Due to the digital nature of the Software and the potential for the Software to be used and installed immediately upon purchase, DieselKey does not offer refunds except as expressly provided in this Section 9.

9.2 Eligible Refunds

You may request a refund within seven (7) days of purchase if all of the following conditions are met:

(a) you have attempted to use the Software on your vehicle;

(b) the Software cannot successfully read or communicate with your vehicle's ECM due to a compatibility issue not attributable to hardware failure, damaged wiring, incorrect J2534 device usage, or a flagged or tampered installation;

(c) you have provided reasonable cooperation with DieselKey support to attempt to resolve the issue;

(d) your license has not been flagged for tampering or reverse engineering; and

(e) you submit your refund request to support@dieselkeytuning.com with your order number, VIN, and a description of the issue.

9.3 Non-Refundable Circumstances

Refunds will not be issued for:

(a) dissatisfaction with tune results;

(b) vehicle damage of any kind;

(c) hardware failures;

(d) incompatibility with third-party devices;

(e) vehicles not listed as supported at the time of purchase;

(f) licenses flagged for tampering, reverse engineering, or other violations of these Terms;

(g) purchases made more than seven (7) days prior to the refund request; or

(h) change of mind.


10. Data Collection and Privacy

10.1 Data Collected

To provide and operate the Software, DieselKey collects and stores the following information:

(a) Vehicle Identification Number (VIN) read from your vehicle's ECM;

(b) the MAC address of the computer on which the Software is installed;

(c) the email address and billing information provided at the time of purchase (via Stripe);

(d) transaction records, including product purchased, amount paid, and date;

(e) submitted calibration binaries and ECU data (if you use the strategy submission feature);

(f) license activation and validation logs, including timestamps;

(g) IP address used to access DieselKey servers; and

(h) diagnostic and telemetry data generated by the Software during normal operation.

10.2 Purpose of Collection

This data is used to:

(a) activate, validate, and enforce license terms;

(b) detect and prevent license violations, tampering, and unauthorized use;

(c) provide customer support;

(d) improve the Software, including adding support for new vehicle strategies;

(e) comply with legal obligations; and

(f) communicate with you regarding your license, updates, and support.

10.3 Payment Processing

Payment processing is handled by Stripe, Inc. DieselKey does not store your full credit card information. Stripe's privacy and data handling practices are governed by Stripe's own terms of service and privacy policy.

10.4 Data Sharing

DieselKey does not sell your personal data. DieselKey may share your data with service providers (such as Stripe, Cloudflare, and Resend) as necessary to operate the Software, and may disclose your data as required by law, court order, or to protect DieselKey's rights.

10.5 Data Retention

DieselKey retains your data for as long as your license is active and for a reasonable period thereafter for legal, accounting, and business purposes.


11. Anti-Tampering and Enforcement Measures

11.1 Integrity Verification

The Software includes automated integrity verification mechanisms that continuously check for modification, tampering, reverse engineering, or bypassing of the Software's security and license protection systems.

11.2 Enforcement Actions

If the Software detects tampering, reverse engineering, license circumvention, or other violations of these Terms, DieselKey reserves the right to take any or all of the following actions without notice:

(a) disable, revoke, or suspend your license;

(b) flag your MAC address, VIN, and associated identifiers as unauthorized;

(c) cause the Software to cease operating or to uninstall itself from your computer;

(d) pursue legal action as described in Section 3.4;

(e) refuse future purchases from you; and

(f) cooperate with law enforcement or regulatory authorities as appropriate.

11.3 No Recovery

DieselKey is under no obligation to restore licenses, reinstall the Software, or otherwise remedy any effects of enforcement actions taken under this Section 11. Users who believe an enforcement action was taken in error may contact support@dieselkeytuning.com, but DieselKey makes no guarantee that any particular enforcement action will be reversed.


12. Updates and Modifications

12.1 Software Updates

DieselKey may provide updates, patches, or new versions of the Software at its discretion. Such updates may add, modify, or remove features. Your license applies to all updates provided by DieselKey during the license term unless otherwise specified.

12.2 Strategy Bundles

The Software automatically retrieves signed calibration bundles from DieselKey servers as needed to support your vehicle's strategy. Additional strategies may be added over the lifetime of your license at no additional cost, subject to availability.

12.3 Terms Updates

DieselKey may modify these Terms at any time by posting the updated Terms on the DieselKey website. Material changes will be communicated via email to the address associated with your license or via an in-app notification. Your continued use of the Software after such updates constitutes acceptance of the updated Terms.


13. Termination

13.1 Termination by You

You may terminate this Agreement at any time by uninstalling the Software and ceasing all use.

13.2 Termination by DieselKey

DieselKey may terminate this Agreement and revoke your license immediately, without notice, if you breach any provision of these Terms, including but not limited to the restrictions in Section 3 and Section 11.

13.3 Effect of Termination

Upon termination, your license to use the Software immediately ceases, and you must uninstall the Software and destroy all copies in your possession. Sections 3.4, 4, 5, 6, 7, 10, 11, 14, and 15 shall survive termination.


14. Dispute Resolution

14.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of laws principles.

14.2 Venue

Any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Lauderdale County, Alabama, and you consent to the personal jurisdiction of such courts.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION AGAINST DIESELKEY.

14.4 Limitation Period

Any claim or cause of action arising out of or related to this Agreement or the Software must be filed within one (1) year after such claim or cause of action arose, or be forever barred.


15. General Provisions

15.1 Entire Agreement

These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and DieselKey regarding the Software and supersede all prior agreements, understandings, and representations.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

15.3 No Waiver

The failure of DieselKey to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of DieselKey. DieselKey may assign these Terms at any time without notice.

15.5 Force Majeure

DieselKey shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, cloud service provider failures, or government actions.

15.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and DieselKey.

15.7 Headings

Section headings are provided for convenience only and do not affect the interpretation of these Terms.

15.8 Notices

Any notices to DieselKey must be sent to support@dieselkeytuning.com. DieselKey may send notices to you at the email address associated with your license or via in-app notification.

15.9 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations of the United States and other applicable jurisdictions.

BY PURCHASING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY.
